Terms and conditions of service

These General Terms and Conditions of Service (GTCs) apply to all services offered by CodeDev, a brand operated by SE & Partner Consulting Sàrl, a company registered in the Swiss commercial register.

Any order implies full acceptance of these conditions, unless otherwise agreed in writing.

1. Services Offered

CodeDev provides services in the following areas:

Website creation, development, and maintenance
Hosting coordination, domain management, and data migration
Technical consulting, ongoing support, and digital audits

All services are clearly defined in the quotes, offers, or contracts provided to the client.

2. Orders and Confirmation

Each service request is subject to a detailed quote and written confirmation (email, signature, or client approval).
The order is considered final upon acceptance of the quote or the start of the work.

3. Pricing and Payment Terms

Prices are quoted in Swiss francs (CHF), excluding taxes unless otherwise stated.
Payment terms, due dates, and conditions are specified in the quote accepted by the client.
Late payment may result in interest charges and the suspension of services until full payment is received.

4. Timelines and Delivery

Delivery timelines are provided for reference only. A provisional schedule is shared at the start of the project.
Delays due to external factors (client delays, force majeure, third-party providers) shall not be considered the responsibility of CodeDev.

5. Client Responsibilities

The client agrees to:

Provide all necessary information for the execution of services
Validate deliverables within the agreed timeframes
Respect the agreed payment terms

The client remains solely responsible for the content published on their website or via the provided tools.

6. Intellectual Property

6.1. All deliverables and product code remain the full and entire property of CodeDev until full payment of the final invoice.

6.2. Unless otherwise explicitly stated in the quote or contract, after full payment, ownership of the source code specifically developed for the customer is transferred to the latter. The client then becomes the sole owner of this code and is free to modify, reuse, or transfer it.

6.3. This transfer of ownership does not apply to open source licensed elements (frameworks, libraries, CMS, etc.) used to perform the service. These remain subject to their own terms and conditions and licenses of use.

7. Warranty and Maintenance

7.1. Unless a different warranty period is explicitly mentioned in the quote, the customer has a period of 30 calendar days from the official launch date of the website to report any anomalies or bugs not detected during the acceptance phase.

7.2. During this warranty period, CodeDev undertakes to correct, free of charge, any malfunction directly and exclusively attributable to its development and preventing the website from functioning in accordance with the specifications validated in the quote.

7.3. This warranty excludes any request for modification, development, addition of content, or correction of any problem resulting from intervention by the customer or a third party on the website.

8. Confidentiality

Both parties agree to keep all information exchanged during the project confidential, during and after the collaboration.

9. Liability

CodeDev commits to delivering its services with care and professionalism.
However, it shall not be held liable for any indirect damages, data loss, operational disruptions, or loss of revenue resulting from the use of its services.

10. Project Visibility

Unless otherwise specified in writing, CodeDev reserves the right to mention the completed projects in its communications (portfolio, website, social media).

11. Governing Law and Jurisdiction

These terms are governed by Swiss law.
In the event of a dispute, the competent courts shall be those of the registered office of SE & Partner Consulting Sàrl.
